• User Content: Any data, information, or content you provide, upload, or submit through the Services, including recipient data, product information, and order-related data.
• AI-Generated Content: Transcripts, voice syntheses, or other outputs generated by the Voice Agent using AI models.

You are responsible for maintaining the confidentiality of your account credentials and are fully accountable for all activities that occur under your account. You agree to:

• Provide accurate and complete information during registration.
• Immediately notify us of any unauthorized access or use of your account.
• Update your account information as necessary to keep it current and accurate.
• Accept full responsibility for all activity occurring under your account.

You may not share your account credentials with others or permit unauthorized use of your account.

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. By using the Services, you confirm that you meet this eligibility requirement.

Such use shall be solely for identifying you as a user of the Voice Agent platform, provided that any use complies with your brand guidelines.

You agree not to use the Services for any purpose that is:

• Illegal or in violation of applicable laws or regulations.
• Fraudulent, deceptive, or misleading.
• Abusive, harassing, threatening, defamatory, or obscene.
• Intended to harm, exploit, or endanger minors.
• Unauthorized access to or interference with our systems.
• Transmission of viruses, malware, or harmful code.
• Any other use that we determine, in our sole discretion, to be inappropriate or harmful.

You assume full liability for all communications made through the Services, including voice calls initiated or managed by the Voice Agent. HoomanLabs is not responsible for the content, legality, or consequences of any calls made or messages sent through the Services. You are solely responsible for ensuring that all such communications comply with applicable laws, including obtaining necessary consents from call recipients.

You represent and warrant that your use of the Services complies with all applicable laws and regulations, including those governing telecommunications, data protection, and consumer protection. You are responsible for complying with all applicable legal requirements in your jurisdiction and in the jurisdictions where you use the Services to contact end users.

The Services may contain links to third-party websites and resources. HoomanLabs is not responsible for the availability, content, accuracy, or privacy practices of these third-party sites. Your use of third-party websites is at your own risk and subject to their terms and conditions.

In the event of any dispute, claim, or disagreement arising out of or in relation to these Terms or the Services, the parties shall first attempt to resolve the matter amicably through good-faith negotiations. If unresolved within 15 days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. The seat of arbitration shall be Bangalore, Karnataka, India, and the language of arbitration shall be English.

Neither party shall be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, riots, embargoes, acts of civil or military authorities, pandemics, fire, floods, other natural disasters, telecommunication breakdown, or failure of internet service. The affected party shall promptly notify the other party of such an event and make reasonable efforts to mitigate its impact.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HoomanLabs concerning the Services and supersede all prior agreements, understandings, and negotiations, whether written or oral. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
